Burgher Gray Jaffe LLP ("Burgher Gray") is a dynamic, boutique law firm comprised of attorneys adept at structuring, negotiating and advising clients on sophisticated financing, corporate and commercial transactions. Formed in 2006 as Gray Haile LLP, Burgher Gray has offices in New York and Washington, D.C. and provides advice and counsel in the following principal practice areas: Mergers, Acquisitions, Divestitures and Joint Ventures Capital Markets/Finance General Corporate and Commercial Transactions Private Equity and Hedge Funds Bankruptcy and Reorganizations Securities Law Compliance, Corporate Governance, and Investigations Dispute Resolution Intellectual Property Real Estate and Community Development Our partners and senior attorneys have spent a number of years honing their skills at some of the nation's largest and most prominent law firms, including Skadden, DLA Piper, Milbank, Clifford Chance, O'Melveny & Myers and Baker & McKenzie, in addition to the legal departments of several Fortune 1000 corporations and governmental agencies such as the U.S. Securities and Exchange Commission. The firm services a broad range of clients, including Fortune 500 companies, U.S. Federal Government agencies, private equity sponsors and investors, underwriters, borrowers, lenders, credit enhancers, rating agencies, and public and privately-held middle-market companies and their shareholders, along with emerging growth companies and entrepreneurs. Burgher Gray attorneys have acted as lead counsel on both domestic and cross-border transactions. FULL-SERVICE PLATFORM For clients with in-house legal departments, Burgher Gray often effectively serves as an extension of their in-house legal departments; we collaborate with their lawyers and often work with other outside lawyers and law firms. In other cases, we serve in a typical outside counsel role. For matters that require additional expertise or regulatory specialization (e.g., environmental, labor/employment, tax and ERISA matters), we co-counsel with Day Pitney LLP, with whom the firm has established a formal strategic alliance. Day Pitney is a full-service majority firm with offices throughout the Northeast United States. DIVERSITY Realizing that the benefits of diversity are real and that companies that do not take advantage of such benefits are increasingly at a competitive disadvantage, corporate America's call for diversity in its supply chain, including suppliers of legal services, has never been louder or more real than it is today. Most major corporate citizens and governmental agencies and authorities have enacted or implemented formal supplier diversity programs that aim to increase the number of women- and minority-owned suppliers that they do business with as well as the amount of their total procurement funds spent with such suppliers. In answer to the call from their clients for diversity in the legal profession, law firms have increased their respective commitments to hire, retain, substantively engage and promote women and minority attorneys. As a minority business enterprise certified by the National Minority Supplier Development Council, Burger Gray is uniquely positioned to respond to the specific client demand for the very real benefits of being represented by a firm of diverse, well experienced attorneys committed to delivering top-tier service. Burgher Gray is also well positioned to assist majority firms in their own efforts to be responsive to the call for diversity among their ranks. Our lawyers are experienced in structuring and executing successful co-counsel arrangements with majority firms seeking ways to deliver on their commitment to diversity despite the budgetary constraints that limit their respective abilities to hire new lawyers. We have successfully executed such arrangements in many transactional contexts, including in M&A transactions, public finance transactions and structured finance transactions, and with a number of majority firms, including Paul Weis and Day Pitney, among others. Such arrangements have generally proved to be a win-win for all interested parties— the client and the two co-counseling firms.
